Terms & Conditions of Sale

1. General

The client explicitly waives its own standard terms and conditions, even if provided after these Terms & Conditions of Sale. Any deviation shall only be valid if expressly agreed in writing in advance.

2. Payment Terms

Invoices are payable within 21 working days, unless otherwise stated on the invoice or order.

In case of non-payment by the due date, Ariba Agro Mart reserves the right to charge a fixed late payment interest of 10% on the outstanding amount. The company may suspend all services without prior notice in case of late payment.

If any amount remains unpaid for more than 60 days, Ariba Agro Mart reserves the right to engage a debt recovery agency. All legal and collection expenses will be borne by the client.

3. Withholding Tax

If a country requires withholding tax under its local legislation, the client shall pay such tax directly to the authorities. Under no circumstances shall Ariba Agro Mart bear any cost related to foreign tax legislation. The invoice amount is fully payable to Ariba Agro Mart, exclusive of any withholding.

4. Provision of Services

Ariba Agro Mart commits to providing its services in a professional manner within the agreed timeframe. However, none of its obligations shall be interpreted as an obligation to achieve a specific result.

Ariba Agro Mart shall in no event be required to appear as a third party in any damage claim filed against the client by an end consumer.

5. Claims

Any claim must be notified by registered mail to the company’s registered office within 8 days of delivery of goods or provision of services. Claims sent after this period shall not be admissible.

6. Limitation of Liability

Ariba Agro Mart shall not be liable for indirect, incidental, or consequential damages, including loss of profit, business interruption, or data loss.

Liability, if any, shall not exceed the total amount of the invoice related to the specific service.

7. Force Majeure

The company shall not be liable for delays or failure to perform due to events beyond its reasonable control, including natural disasters, strikes, war, government restrictions, or communication failures.

8. Applicable Law & Jurisdiction

All contractual relations shall be governed exclusively by the laws of Bangladesh.

Any dispute shall fall under the exclusive jurisdiction of the courts of [Dhaka], Bangladesh.
